Registration of amendments to the constitutive documents of GIE and GEIE according to the provisions of Council Regulation (EEC) no. 2137/1985, Law no. 161/2003 (Book I, Title V, Chapter I, Section II) and GEO no. 119/2006 regarding:
- any amendment to the constitutive act of the group, including any change in the composition of the group;
- establishment or dissolution of all branches, representative offices and other entities without legal personality;
- the court decision by which the nullity of the group is declared;
- the decision to appoint the administrator or administrators of the group, their name/designation, the mention whether the administrators may act individually or together, as well as the termination of their duties;
- the assignment, in whole or in part, of a member's interest shares;
- the decision of the group members or the court decision on the dissolution of the group;
- the decision to appoint the group's liquidators, their name/designation, as well as the termination of their duties;
- the completion what the group’s liquidation;
- the proposal to move the registered office to a foreign country;
- the clause by which new members are exempted from payment of group debts born prior to their admission to the group.

According to Art. 112 paragraphs (1) and (2) of Law no. 265/2022 regarding the trade register and for the amendment and completion of other normative acts with an impact on registration in the trade register, “(1) Against the registrar's decision issued according to Art. 108 or, as the case may be, according to Art. 110, the applicant may file a complaint within 10 calendar days from the communication of the decision, in the event that the applicant has requested communication through the methods provided for in Art. 111 paragraph (1) letters b) and c). In these cases, the applicant may also file a complaint from the date the decision is published in the Bulletin, if this is prior to the communication.
(2) In the case provided for in Art. 111 paragraph (1) letter a), if the decision is not picked up from the counter within the document release period, the applicant may file a complaint within 10 days from the date of publication of the decision in the Bulletin.”
The complaint shall be submitted, in the case of legal entities, to the trade register office, which shall record it in the trade register and communicate it to the court/specialized court within three working days from the date of submission.
